General Terms and Conditions
These are the general terms and conditions of sale and delivery (as defined below) of Ri-Traffic. Registered with the Chamber of Commerce under number 77043030 and establishment number 000044768605.
We recommend reading these terms and conditions carefully to understand your rights and obligations. If you have any questions or comments, please don’t hesitate to contact us.
1. General Provisions
1.1 These terms apply to all offers, quotations, and agreements from Ri-Traffic unless expressly agreed otherwise in writing with an authorized representative.
1.2 Any purchasing or other conditions provided by the customer are explicitly rejected unless otherwise agreed in writing.
1.3 The customer is not permitted to transfer rights and obligations from an agreement to third parties without written permission from Ri-Traffic. Such permission will not be unreasonably withheld.
2. Quotations and Offers
2.1 All offers and quotations from Ri-Traffic are without obligation, even if a deadline for acceptance is stated.
2.2 Ri-Traffic is not bound by offers if the customer can reasonably understand that the offer contains an error or oversight.
2.3 Brochures, descriptions, specifications, drawings, and dimensions are indicative only and cannot be legally binding unless expressly agreed otherwise.
2.4 Quoted prices exclude VAT and any additional costs, such as shipping and administrative fees, unless stated otherwise.
2.5 Ri-Traffic reserves the right to reject any order at any time.
3. Execution and Changes to Agreements
3.1 Agreements with Ri-Traffic are only binding when confirmed in writing or explicitly accepted by Ri-Traffic.
3.2 Agreed timelines are indicative and not binding deadlines.
3.3 Ri-Traffic is entitled to perform the agreement in phases and invoice each completed phase separately.
3.4 If changes to the agreement are required during its execution, the parties will adjust the terms accordingly, including costs and timelines.
4. Delivery and Transport
4.1 Delivery terms are based on "Ex Works" (according to Incoterms). Additional packaging, insurance, and transport costs may apply.
4.2 Estimated delivery times are non-binding, and delays do not entitle the customer to cancel the agreement.
4.3 The customer is responsible for inspecting delivered goods for visible damage immediately upon receipt. Claims must be submitted within 24 hours (or 48 hours for international orders).
5. Suspension, Termination, and Cancellation
Ri-Traffic reserves the right to suspend or terminate agreements if the customer fails to meet their obligations, becomes insolvent, or if circumstances make continuation unreasonable.
6. Force Majeure
Ri-Traffic is not liable for delays or failure to fulfill obligations due to unforeseen circumstances beyond its control, including natural disasters, strikes, or supplier issues.
7. Payment and Collection
7.1 Payment terms are 30 days after the invoice date unless otherwise agreed in writing.
7.2 In case of late payment, the customer owes 1% interest per month, or the statutory interest rate if higher.
7.3 Any collection costs due to non-payment are charged to the customer, with a minimum fee of €250.
8. Retention of Title
Ri-Traffic retains ownership of all delivered goods until full payment of all obligations under the agreement.
9. Warranty and Claims
9.1 Ri-Traffic warrants that products are free from material or manufacturing defects for six months after delivery. Repairs or replacements are provided based on the warranty terms.
9.2 Warranty does not apply to misuse, unauthorized modifications, or improper storage.
10. Liability
10.1 Ri-Traffic is not liable for indirect damages, including loss of profit, missed savings, or business interruption.
10.2 Direct liability is limited to the terms stated in the warranty.
11. Complaints Procedure

12. Governing Law and Disputes
12.1 These terms are governed by Dutch law. The applicability of the Vienna Sales Convention is excluded.
12.2 Disputes will be resolved by the competent court in Arnhem, the Netherlands, after both parties attempt to resolve the matter amicably.
